This agreement is between Client and Instant Data Research, Inc., d.b.a. investigate.com (hereinafter referred to as IDR). This Agreement, the Professional Services Contract, the Searches page, the Order Form and any attachments represent the complete agreement between client and IDR. No other documents, agreements or representations, written or oral, shall be part of this agreement, even if referred to, unless specifically agreed to by IDR in writing. No right that IDR has regarding this agreement may be waived or modified except by IDR in writing.

Search requests are prepaid. The price of the search is determined by the standard fee schedule in effect at the time of the order. Certain types of orders are subject to disbursements, including, but not limited to, courier, correspondent, and statutory fees, sales and use taxes, telephone, fax, and overnight mail charges, and any other expenses incurred in supplying requested searches and reports, which must be paid by the client.

IDR conducts its searches based on the criteria provided by the clients. The client will be charged an additional fee for incorrect search criteria. All sources used are deemed reliable and accurate, however, we have no control over the integrity of their data and therefore we will not assume responsibility for the accuracy or integrity of records or information. Due to the fallibility of electronic and manual systems and resources the report provided does not preclude the possible existence of other information. 

The client shall not disclose or re-export any information contained in IDR reports to any person or location. IDR considers all information provided to the client to be proprietary and confidential. The client’s decision to disclose or re-export this information is done at his or her own risk.

IDR may subcontract the work to be performed under this agreement at its own discretion.

IDR will use its best efforts to complete all orders by the due date. However, the company can not be responsible for late delivery due to events beyond its control and not due to its own fault or negligence. In the event that IDR anticipates a delay in the delivery of the client’s order they will attempt to provide the client with as much notice as possible. The client remains responsible for the full cost of their order.

IDR warrants that all supplied information is available in the public domain unless otherwise indicated.

In the event any provision of this agreement is held to be invalid or unenforceable, the remaining provisions of this agreement will remain in full force and effect.

The client shall be liable and shall reimburse IDR for all costs and expenses, including reasonable attorney’s fees, incurred by IDR in any suit, action, or proceeding by IDR to enforce the terms of this agreement.

No warranty, either expressed or implied is made. Any liability is limited only to charges for service or data. Certain information may not be acceptable for use as an exhibit or evidence.
